Terms of Service

Questions about these terms? Email mohamedsidiyot@gmail.com.
1. Who you are dealing with
Ikigai ADE is the trading name of Mohamed Sidiyot, an individual trading as a sole proprietor in South Africa. Ikigai ADE is not a registered company; there is no separate juristic entity, and Mohamed Sidiyot is personally the contracting party.
In these terms, "Ikigai ADE", "we", "us" and "our" mean Mohamed Sidiyot, a sole proprietor trading as Ikigai ADE. Your agreement is with that person. There is no separate company standing behind it, and we are telling you so up front rather than letting you assume otherwise.
Ikigai ADE is an Agentic Development Environment: an AI platform through which you direct agents to build software, publish sites, run marketing and run outbound sales, together with intelligence reporting across those areas.

Not registered for VAT. Prices carry no VAT and our invoices are not tax invoices for VAT purposes.
2. Eligibility
You must be at least 18 and legally able to enter a binding agreement. If you are using Ikigai ADE for an organisation, you confirm you are authorised to bind it, and "you" then means both you and that organisation.
3. Plans, pricing and billing
- We publish three plans, Solo, Pro and Max, at the prices on the pricing page. Enterprise is a negotiated contract with its own terms, which override these where they differ.
- Your first 14 days are free. We agree your plan and its price with you before any work starts. Your first invoice is issued on day 15 and covers your first paid month, or your first year on an annual plan. If you cancel before day 15, you owe nothing.
- Subscriptions are billed monthly or annually, as you choose at checkout, and renew automatically until you cancel. Prices are shown in ZAR and USD; you are charged in the currency shown at checkout.
- Payment is taken by Paystack. We never see or store your full card details.
- Usage is metered in credits, weighted by the actual cost of the model you choose, so an expensive model consumes more credits than a cheap one. Your plan's monthly credit allowance is shown on the pricing page.
- Model access. By default we run the models for you on our own provider accounts. You may instead enable Bring Your Own Key and supply your own provider credentials, in which case your requests go to your own account under your agreement with that provider, and we do not mark them up. Some models are available only on your own key; the pricing page and product say which.
- Because we depend on third-party AI providers, the specific models behind a slot can change when a provider retires or replaces one. We will keep equivalent capability available; we cannot guarantee a named model forever.
- Price changes. We will give you at least 30 days' written notice before a price increase affecting you. If you do not accept it, you may cancel before it takes effect and we will not charge the new price. We will not increase the price of a term you have already paid for.
5. Acceptable use
You must not use Ikigai ADE to:
- Break the law, or help anyone else do so.
- Send spam, or run outreach that ignores POPIA section 69, the CPA's direct-marketing rules, the GDPR, the CAN-SPAM Act or equivalent rules where your recipients are.
- Generate content that is unlawful, defamatory, harassing, or that sexualises children.
- Impersonate a person or organisation, or produce fake reviews, fake endorsements or fabricated records.
- Infringe anyone's intellectual property or misappropriate trade secrets.
- Resell or sublicense access, or share your credentials, without a written agreement from us.
- Attempt to extract our prompts, model configurations or methodology; or scrape, reverse-engineer or benchmark-and-republish the service without consent.
- Circumvent security controls, rate limits or credit metering, or probe another tenant's data.
- Use the service to build a directly competing product from our own outputs.
Automated outreach is powerful and it is the part of this product most likely to get you into legal trouble if you misuse it. You are the sender. You are responsible for having a lawful basis to contact each recipient, for honouring opt-outs immediately, and for identifying yourself honestly.
6. Your content and your data duties
- You own your content. Prompts, uploads, workspace files, CRM records and the outputs generated for you remain yours. We claim no ownership of them.
- You grant us the licence we need to host, process and transmit your content in order to run the service for you, including sending it to the AI provider serving your request. Nothing more.
- When you upload other people's personal information, such as prospects or contacts, you are the responsible party for it and we are your operator. You confirm you have a lawful basis to give it to us and to have us process it, and you accept the terms of our Data Processing Agreement.
- We will process that data only on your instruction, and only through the sub-processors listed on the Sub-processors page. Those include AI providers outside South Africa. If that is unacceptable for a particular dataset, do not upload it.
- You are responsible for keeping your own copies of anything you cannot afford to lose.
7. Intellectual property
The platform itself, including its code, agent configurations, prompts, methodology, report templates, and the Ikigai ADE and S.I.D names and branding, belongs to us. You get a limited, non-exclusive, non-transferable right to use it while your account is in good standing. That right ends when your account does.
Output generated for you is yours to use commercially, including reports. Note two honest limits: AI output is not guaranteed to be original or free of third-party rights, and identical prompts can produce similar output for other customers, so we cannot promise exclusivity in what a model generates.
8. AI output and accuracy
Ikigai ADE is built on large language models from several providers. You need to understand what that means before you rely on it:
- Output can be wrong. It can contain errors, omissions, outdated facts, and confident statements that are simply false. Check anything that matters.
- It is not professional advice. Nothing the platform produces is legal, financial, tax, investment, medical or other regulated professional advice, whatever the agent is called. Our trading and finance features are research tools, not investment advice, and are not a recommendation to buy or sell anything.
- Decisions are yours. You are responsible for what you do with the output, and for reviewing it before it reaches a customer, a regulator or a court.
- Agents can take actions you instruct, such as sending outreach or publishing a site. Review what you authorise. An instruction you gave is an action you are responsible for.
Where a check rejects an output, the credits it consumed are returned to you automatically. See clause 6 of the Refund Policy.
9. Availability
We work to keep the service available but we do not offer an uptime guarantee on the Free or Pro plans, and there is no service credit scheme on those plans. Enterprise agreements can include a negotiated service level. We may perform maintenance, and we depend on third parties whose outages we cannot control. If the service fails materially and for a prolonged period, clause 9 of the Refund Policy and your rights under CPA sections 54 and 56 apply.
10. Cancellation and refunds
Full detail is in the Refund and Cancellation Policy, which forms part of these terms. In short:
- 7-day cooling-off on your first charge. Cancel within 7 days of your first payment, for any reason or none, and we refund it in full. This reflects ECTA section 44.
- 5 business days if we approached you. If you subscribed because of our direct marketing, CPA section 16 gives you a separate right to cancel within 5 business days and be refunded in full.
- Monthly plans. Cancel any time from your dashboard. Access continues to the end of the period you have paid for. Outside the cooling-off windows we do not refund a part-month.
- Annual plans. Under CPA section 14 you may cancel mid-term on 20 business days' notice. We refund the unused portion and may deduct a reasonable cancellation penalty, capped at the annual discount you actually received.
- If we terminate you for breach, no refund. If we terminate without cause or discontinue the service, we refund the unused portion pro-rata.
We do not offer a discretionary money-back guarantee beyond the rights set out above.
11. Your consumer rights
If you are a consumer under the Consumer Protection Act, you have rights we cannot contract out of, and we are not trying to. In particular:
- The right to fair, reasonable and just terms (CPA sections 48 to 52). Any term in here that a court finds unfair or unreasonable is void, and the rest continues to apply.
- The right to services performed with reasonable skill and care, and to have a failure remedied or refunded (CPA sections 54 and 56).
- The cooling-off rights in clause 10.
- The right to cancel a fixed-term agreement early (CPA section 14).
- The right not to receive unwanted direct marketing, and to block it (CPA section 11, POPIA section 69).
- The right to complain to a regulator or ombud without going through us first.
12. Limitation of liability
What we do not limit. Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence, or for anything else that South African law does not permit us to limit. CPA section 51 makes certain exclusions void, and we do not rely on any of them.
Subject to that, and to the maximum extent the law allows: our total liability for all claims arising from your use of the service in any 12-month period is limited to the fees you paid us in the 3 months before the claim arose; and we are not liable for indirect or consequential loss, lost profits, lost revenue, lost data or lost goodwill.
Specifically, we are not liable for decisions you make based on AI output, or for outreach you send through the platform. If a third party claims against us because of content you generated or messages you sent, you will cover our reasonable costs in dealing with it. This clause does not apply to you as a consumer to any extent the CPA prohibits.
13. Suspension and termination
- You may close your account at any time.
- We may suspend or terminate your account if you materially breach these terms, if your payment fails and stays unresolved after notice, or if we must do so by law.
- Except where the breach is serious enough to require immediate action, we will tell you what the problem is and give you a reasonable chance to fix it first.
- On termination, you may export your content for 30 days, after which we delete it as described in the Privacy Policy.
14. Changes to these terms
We may update these terms. For a material change we will email registered subscribers at least 14 days before it takes effect. If you do not accept it, cancel before the effective date; continuing to use the service afterwards means you accept the change. We will not apply a material change retrospectively to something that already happened.
15. Governing law and disputes
These terms are governed by the law of the Republic of South Africa.
Talk to us first at mohamedsidiyot@gmail.com. Most problems are a misunderstanding and we would rather fix it than argue. If we cannot resolve it, you may escalate without our permission to the Consumer Goods and Services Ombud or the National Consumer Commission, or take the matter to court.
We would bring or defend a claim in the South African courts. If you are a consumer resident elsewhere, this does not deprive you of the right to sue, or the protection of mandatory consumer law, in your own country.
